Sydney gym Director charged over false statements to Australian Securities and Investments Commission

Jye Menzies-Clifton, Director of Strong and Co Australia Pty Ltd, which operated the Menzies Health Club in the Sydney suburb of Parramatta, has been charged with authorising the making of false statements to Australian Securities and Investments Commission (ASIC).

Menzies-Clifton appeared at the Mt Druitt Local Court on Wednesday charged with two counts of authorising the making of a false statement in a document lodged with ASIC contrary to section 1308(1) of the Corporations Act 2001 (Cth).

Following an ASIC investigation, it is alleged that on 20th November 2021, Menzies-Clifton authorised the lodgement of a form to deregister the company which contained declarations that the company had no outstanding liabilities, and that all the members of the company agreed to the deregistration, while knowing those statements to be false. 

It is alleged that Menzies-Clifton was made aware of over $70,000 in company liabilities and did not get consent from the sole member of the company to deregister the company. 

The matter has been adjourned to 29th January 2025 before Mt Druitt Local Court for further mention. 

This matter is being prosecuted by the Office of the Director of Public Prosecutions (Cth) (CDPP).

The maximum penalty for the alleged offence is five years imprisonment.
